BY LAWS

ARTICLE I

NAME AND PURPOSE

Section A

The organization shall be known as CONSTRUCTION LICENSING OFFICIALS ASSOCIATION OF FLORIDA, INC. (CLOAF)

Section B

The objectives of CLOAF shall be:

ARTICLE II                      

MEMBERSHIP AND VOTING

Section A

There shall be the following classification of membership:

  1. Certified Members are those members that have obtained Certification by attending one conference per calendar year. Members are government officials in charge of licensing; staff members; or appointed local licensing board members; filed investigators, code compliance officers; Building Departments or other municipal, state or county employees engaged in the administration and/or enforcement of regulatory laws and ordinances; related to construction licensing.

  2. Associate Members are those people who represent contractor trade associations, contracting firms or construction material suppliers.  Former government officials for licensing agencies and board members of such agencies or other such people not qualifying for Certified membership whose business is related to the construction industry.

  3. Honorary Members are those people who have shown dedication, service and loyalty to the organization. These people will be exempt from membership fees and will not be able to vote in General Meetings.     

  4. Maintaining Certification To maintain certification, members must pay their annual membership dues and attend at least one General Member Conference each calendar year. Failure to pay dues and attend the conference within a given year may result in a loss of certification.

Section B                       

Certified Members shall be entitled to vote and serve on any committee.

Section C                        

All Associate Members may participate in discussions, without a vote, and may serve on committees upon approval of the Board of Directors.

Section D 

Certified Members that wish to run for a position on the Board of Directors must serve a minimum of ONE (1) year as a member of a CLOAF committee. After that one-year period the Certified Member may run for any office on the Board that is up for election at that time.

ARTICLE III                     

BOARD OF DIRECTORS

Section A                      

The property, records, business affairs and policies of CLOAF shall be under the control of the Board of Directors. The Board of Directors shall consist of the President, Vice President, Secretary, Treasurer, Sargeant at Arms, all of whom shall be Certified members at the time of their election to and during the term of office.

Section B                         

The President shall preside at all meetings of CLOAF and at meetings of the Board of Directors.  In the absence of the President, the Vice President shall preside. In the absence of both the President and the Vice President, the Secretary shall preside. In the absence of the president, Vice President and Secretary, the Treasurer or Sargeant at Arms shall preside.

Section C                        

The Board shall maintain all records of the Association.

Section D                        

The Treasurer or the Boards’ designee shall act as custodian of funds. The Board of Directors shall audit the books, business affairs and records of CLOAF. The results of the audit shall be reported to the members at the Annual Meeting each year.

Section E 

TERMS OF OFFICE

  1. The normal terms of office shall be four (4) years.

  2. An officer may be elected without limit on the number of terms except as otherwise approved by the Board of Directors.

Section F

The responsibilities of the Board are to schedule, negotiate and coordinate the meetings and board meetings to secure sponsors for events during these Conference/Meetings, and events for future meetings.

ARTICLE IV             

CONFERENCES/MEETINGS

Section 1                

Conferences shall be held at least once each year at a date, time and place designated by the Board of Directors.

Section 2                

The fall or winter meetings shall be designated as the Annual Meeting at which time any open Board positions will be elected by the majority of certified members present.

Section 3                

Refunds for conference attendees can be requested no less than 30 days prior to the first day of the conference. Substitutions are allowed if requested 5 days prior to the conference.

ARTICLE V              

ADDENDUM ANNUAL DUES

Section 1                

Membership for the first two members from the same government are $200.00 each. Additional Members from the same government are $100.00 each person thereafter.

Section 2                

Associate Memberships for the first two members from the same company are $200.00 each.  Additional members from the same company are $100.00 each person thereafter.

Section 3                

State, County and City Law Enforcement Officers are $100.00 each.

Section 4                

Annual Membership fees are due by January 31st of each year. Payments made after this date will incur a late fee of $50.00 per membership.

ARTICLE VII            

Amendments to the by-laws may be considered at any scheduled Board meeting.  The proposed amendments may be discussed and amended if passed by a majority vote of the Board of Directors present.

ARTICLE VIII           

QUALIFICATIONS TO HOLD OFFICE

Section 1                

Eligibility:  Only Certified Members may serve as officers of the association.

Section 2                

Unexpired Term:  Shall be filled by appointment, by the Board of Directors and the appointee may serve until the next scheduled election, at which time the election will be conducted by the membership for that or any vacant office.

ARTICLE IX             

COMMITTEES

Section 1                

  1. The President shall whenever necessary or appropriate, appoint special ad hoc committees to perform limited and specific duties.

  2. The terms of ad hoc committees shall be for the duration of the specific duty assigned to it.

  3. Ad hoc committees may also be established by the Board of Directors.

Section 2                        

  1. There shall be standing committees with members appointed by the President.

  2. The Membership Committee shall meet as necessary to encourage recruitment of new members and the retention of current members.

  3. The Legislative Affairs Committee shall meet as necessary to review legislative, judicial and executive action affecting the regulatory community.

  4. The Equipment Committee shall meet as necessary to organize and audit equipment purchased and owned by CLOAF. Also, the committee will be responsible for the setup and breakdown of such equipment before and after all meetings.
